Regarding the use of palmangels.com, you are exclusively authorised to: view the Site and its content; perform any other temporary reproduction activity which is not related to any personal economic purpose, considered provisional or additional, and integral and essential activity for the viewing of palmangels.com and its content, and to carry out any other navigation activity on palmangels.com performed exclusively in view of a licit use of the same site and its contents. 1. Our Business Policy

1.1 The Seller offers products for sale on palmangels.com and its e-commerce business services are available exclusively to its end users, i.e. the "consumers".

1.2 "Consumer" shall mean any individual who is acting through the use of the website palmangels.com for purposes unrelated to their trade, business or profession. If you are not a consumer, please do not buy any products on palmangels.com.

1.3 In view of its business policy, the Seller reserves the right not to process orders received from users who are not "consumers" and any other order which does not comply with its business policy.

1.4 These Terms and Conditions of Sale regulate the offer, transmission and acceptance of purchase orders relating to products on palmangels.com between the users of palmangels.com and the Seller.

1.5 The Terms and Conditions of Sale do not, however, regulate the supply of services or the sale of products by third parties that are present on palmangels.com through links, banners or other hypertext links. 2. Concluding a contract with the Seller

2.3 The contract is concluded when the Seller receives your order form electronically and the order information has been verified as correct.

2.6 Once the contract is concluded, the Seller will process your purchase order.

2.7 The Seller may not process your purchase orders if there are grounds for refusal, in particular if they fail to provide adequate creditworthiness guarantees or are incomplete or incorrect, or in the event that the products are unavailable. In such cases, we shall inform you by email that the contract has not been concluded and that the Seller has not processed your purchase order specifying the reasons thereof. If the products presented on palmangels.com are no longer available or for sale at the time of your last access or at the time the order form is sent, the Sender shall promptly inform you that the products ordered are unavailable and, in any event, within thirty (30) days from the day following the date on which you sent your order to the Seller. If you submit the order form and pay the price, the Seller will refund what you have already paid in advance.

2.8 By submitting the order form electronically, you unconditionally accept and undertake to observe these Terms and Conditions of Sale in your dealings with the Seller. If you do not agree with any of the terms in the Terms and Conditions of Sale, please do not submit your order form to purchase products on palmangels.com.

2.9 By submitting an order form, you confirm that you are aware of and accept these Terms and Conditions of Sale as well as further conditions present, through links, at palmangels.com, including the Terms of Use and Privacy Policy of palmangels.com.

2.10 Once the contract is concluded, the Seller shall send you a purchase order receipt email containing a summary of the information related to the order form (Terms and Conditions of Sale, Return Policy, the product main characteristics, and detailed information regarding the price, means of payment, the right to withdraw and delivery costs).

3. Guarantees and Product Price Indication

3.1 Progetto 17 srl, licensee of the Palm Angels brand for EMEA, and TLG srl, with registered office in Italy, Piazza Arcole 4, 20143, Milan, VAT no. 12228160961. own the exclusive licence rights to the Palm Angels brand under which the products on this site are marketed.

3.2 The main characteristics of the products are shown on palmangels.com on each product page in a reasonably sufficient way with respect to the communication channels used. The products offered for sale on palmangels.com may not exactly correspond to the real items in terms of image and colours due to the Internet browser or monitor used.

3.3 Product prices may be subject to change. We will provide the final sale price before the order form is sent and kindly ask that you check it before placing your order.

3.4 Orders from countries that are different to the one selected for delivery or to addresses to which the Seller cannot ship cannot be accepted by the Seller.

3.5 All products come with an identification tag attached with a disposable seal. Please do not remove the tag or seal from the purchased products as they are an integral part of them.

3.6 If you decide to exercise your right to return products, the Seller may refuse to accept products that are damaged, that do not have their tag or seal, or that have been altered in terms of key characteristics or quality.

4. Payments

4.1 Payment of the product prices and relevant costs for shipping and delivery must be made using one of the methods specified on the order form.

4.2 In the case of payment by credit card, financial information (e.g. the credit/debit card number or expiry date) will be forwarded to an external payment service provider (PSP), which guarantees the security of online transactions through a 128-bit SSL-certified encrypted protocol. Such details will not be used by the Seller except for performing the procedure relevant to your purchase, issuing refunds for returns in the event that you exercise your right to withdraw, or for reporting, where necessary, cases of fraud on palmangels.com.The price for the purchase of the products and shipping costs, as specified on the order form, will be clearly indicated before final confirmation and debited from your current account when the purchased products are shipped.

7.1 As a consumer, you have the right to withdraw from the contract concluded with the Seller, without any penalty and without specifying the reason, within fourteen (14) working days from the day on which you received the products purchased on palmangels.com.Exchanges are not available.

Please read all the information carefully as it forms an integral and substantive part of these Terms and Conditions of Sale and, therefore, is deemed to be fully known and accepted by you when you submit an order form.

The Terms and Conditions of Sale are governed by Italian law, in particular Italian legislative decree no. 206 of 6 September 2005 (Consumer Code), which makes specific reference to distance contract rules, and by Italian legislative decree no. 70 of 9 April 2003 on certain aspects related to e-commerce.

10. Changes and updates

The Terms and Conditions of Sale may be amended from time to time due to new laws and regulations, or for other reasons. The new Terms and Conditions of Sale shall be effective from the date on which they are published on palmangels.com.

For shipments to the Russian Federation: DHL General Terms and Conditions Express Network terms and conditions of carriage and customs operations (T&C) Please note that we currently do not ship orders to the Russian Federation.

The Seller uses DHL services for shipments to the Russian Federation. Please read the Terms of Use below carefully.

These T&C are applied to services provided by the Express Carrier DHL Express to deliver Express Shipments for personal use.

1. TERMS USED HEREIN:

Express carrier: DHL Express is represented within the Russian Federation by two entities, DHL International ZAO and DHL Express OOO. DHL Express as well as third parties work together to deliver Express Shipments internationally and perform related customs operations. "Customs Broker" means DHL Express OOO performing customs operations in the name and on behalf of the customs applicant and other interested parties in accordance with the customs laws of the Customs Union. "Express Shipment" means goods shipped in express mode by any means of transportation using electronic shipment organisation and tracking system on www.dhl.ru to deliver those goods to the Consignee pursuant to an individual waybill within the shortest possible and/or fixed period of time. "Shipper" means a legal entity, normally an online store, that hands Express Shipments over to the Express Carrier for delivery.

"Consignee" means an individual consignee of Express Shipment specified in the DHL Express waybill.

2. SUBJECT MATTER OF THE T&C:

2.1 These T&C are a public offer and form a consensual type Delivery and Customs Operations Agreement in respect of Express Shipments by and between the Shipper/Consignee, the Express Carrier and the Customs Broker (Agreement).

2.2 Consignee of Express Shipments accepts the provisions of this Agreement for themselves and for other directly or indirectly interested third parties, including the Shipper, by pressing a button, ticking a box or putting any other sign in the box "I accept terms and conditions of the Offer", as well as/or by any other means of actual confirmation of their consent when ordering goods at the Shippers website.

2.3 Under the applicable legislation in Russian Federation, Express Carrier and Customs Broker shall have the right to demand from Consignee documents and information necessary for international delivery of Express Shipments and related customs operations, including those containing information comprising commercial, bank and other details protected by law, or other confidential information, and obtain such documents and information within the time limits ensuring observance of the requirements specified in the applicable legislation.

Express Carrier and Customs Broker hereby acknowledge and confirm that the obtained information comprising state, commercial, bank and other details protected by the law or other confidential information must not be disclosed or used by Express Carrier and Customs Broker and their employees for internal purposes, handed over to other persons, except for the cases envisaged in the applicable legislation in Russian Federation or if disclosure of the information is required for international delivery of Express Shipments and customs operations.

3. DHL EXPRESS NETWORK T&C OF CARRIAGE

3.1 The Shipper and the Consignee acknowledge that normal DHL Express Delivery Terms and Conditions apply to carriage of goods via DHL Express network; the key provisions thereof that are essential for the Consignee are listed below:

DELIVERIES & UNDELIVERABLES:

Shipments cannot be delivered to a PO box address or postal code only. Shipments are delivered to the Consignee's address given by Shipper (which in the case of mail services shall be deemed to be the first receiving postal service) but not necessarily to the named Consignee personally. Shipments to addresses with a central receiving area will be delivered to that specific area. If the Shipment is deemed to be unacceptable, or it has been undervalued for customs purposes, or Consignee cannot be reasonably identified or located, or Consignee refuses delivery or to pay for delivery, DHL shall use reasonable efforts to return the Shipment to Shipper at Shipper's cost. If this is not possible, the Shipment may be sold by DHL without incurring any liability whatsoever to Shipper or any other third parties, with the proceeds of sale less service charges and related administrative costs to be returned to Shipper.

INSPECTIONS:

DHL has the right to open and inspect Shipments without notice.

LIABILITY OF DHL:

DHL's liability is expressly limited to direct loss and damage only and cannot exceed weight limits pursuant to Section 6. Any other types of loss or damage whatsoever are excluded (including but not limited to lost profits, interest or future business), whether such loss or damage is special or indirect, and even if the risk of such loss or damage was brought to DHL's attention before or after acceptance of the Shipment. If a Shipment combines carriage by air, road or another mode of transport, it shall be deemed to have been carried by air. DHL's liability in respect of any one Shipment transported, without prejudice to Sections 7-11, is limited to its actual cash value and shall not exceed:

- an amount calculated based on $US 25.00/kilogram or $US 11.34/lb for Shipments transported by air or other non-road mode of transportation; or

- an amount calculated based on $US 12.00/kilogram or $US 5.44/lb for Shipments transported by road.

Claims are limited to one claim per Shipment; settlement of such claim will be full and final settlement for all loss or damage in connection therewith. If Shipper regards these limits as insufficient they must make a special declaration of value and request insurance as described in Section 8 (Shipment Insurance) or make their own insurance arrangements, failing which Shipper assumes all risks of loss or damage.

TIME LIMITS FOR CLAIMS:

All claims must be submitted in writing to DHL within thirty (30) days from the date that DHL accepted the Shipment, failing which DHL shall have no liability whatsoever in respect of those claims.

DELAYED SHIPMENTS & MONEY-BACK GUARANTEE:

DHL will make every reasonable effort to deliver the Shipment in accordance with DHL's regular delivery schedules. However, these schedules are not binding and do not form part of this Agreement. DHL is not liable for any damages or loss caused by delays.

Certain services have a money-back guarantee which provides, in some cases, for a credit or refund for transport charges in the event of delay of all or part of the Shipments. The Money-Back Guarantee Terms and Conditions are available on the DHL website (www.dhl.com) or from DHL Customer Service. UNFORESEEN CIRCUMSTANCES:

DHL is not liable for any loss or damage arising out of circumstances beyond DHL's control. These include but are not limited to electrical or magnetic damage to, or erasure of, electronic or photographic images, data or recordings; any defect or characteristic related to the nature of the Shipment, even if made known to DHL; any act or omission by a person not employed or contracted by DHL, e.g. Shipper, Consignee, third parties, customs authorities or other government officials; Force Majeure, e.g. earthquake, cyclone, storm, flood, fog, war, plane crash, embargo, riot, civil commotion, or industrial action.

INTERNATIONAL CONVENTIONS:

If Shipments are transported by air and involve an ultimate destination or stop in a country other than the country of departure, the Montreal Convention, or the Warsaw Convention as applicable, governs. For international road transportation, the Convention for the International Carriage of Goods by Road (CMR) may apply. These conventions limit DHL's liability for loss of or damage to shipped goods.

ROUTING:

Shipper agrees to all routing and diversion, including the possibility that the Shipment may be carried via intermediate stopping places.

LEGISLATION IN FORCE:

Any dispute arising under or in any way connected with these Terms and Conditions shall be subject, for the benefit of DHL, to the non-exclusive jurisdiction of the courts of, and governed by the law of, the country of origin of the Shipment, and Shipper irrevocably submits to such jurisdiction, unless contrary to applicable law.

4. CUSTOMS OPERATIONS TERMS & CONDITIONS

4.1. Customs Broker:

4.1.1 may perform customs declaration of Express Shipments;

4.1.2. shall inform the Consignee of the date of the package's arrival at the temporary storage facility (TSF) by fax or email;

4.1.3 shall perform other actions stipulated in the laws of the Customs Union and the Russian Federation as necessary to perform the customs operations as a person authorised by the Consignee to act in respect of the declared Express Shipments.

4.2. The Consignee shall provide comprehensive and accurate details and documents to perform declaration of the Express Shipments as stipulated in the laws of the Customs Union and the Russian Federation and provide additional documents at the Customs Broker's request. All the documents required to declare the goods should be provided within ten (10) calendar days from the moment the goods arrive at the temporary storage facility (TSF).

4.3. The Consignee shall carry out the formalities related to the frequency of receiving shipments at their own risk and cost.

4.4. The Shipper and the Consignee guarantee that they have legal authority or other legal grounds for the Customs Broker to perform legally relevant actions on their behalf and shall be fully liable for providing comprehensive and accurate information in respect of the Express Shipments.

5. LIABILITY OF THE PARTIES

5.1. The Consignee shall be liable for penal sanctions imposed on the Customs Broker as a result of the latter's breach of customs regulations due to the Consignee's failure to provide comprehensive and/or accurate information and documents, including inconsistencies in transported goods to their accompanying documents in terms of their name, quantity and other characteristics affecting due declaration, as well as the Consignee being late in providing those documents and information; in this case, the Consignee shall reimburse the Customs Broker all the amounts of such sanctions through a separate invoice.

5.2. The Customs Broker shall not be liable for lost profits or other consequential and contingent damages of the Consignee even if such damages are foreseeable or have been made known to the Customs Broker or the Customs Broker could or should have known about them.

5.3. The Parties shall be released from liability for full or partial non-performance of their respective obligations hereunder if it became a result of Force Majeure circumstances and those circumstances directly affected performance of this Agreement.

6. SERVICE FEES & PAYMENTS FOR CUSTOMS OPERATIONS:

6.1. Service fees are determined based on the Customs Broker's rates as of the invoice date, including amounts of customs and other fees paid by the Customs Broker while providing services hereunder.

6.2. The Consignee must pay for the Customs Broker's services.

6.3. The Customs Broker reserves the right to withhold any goods of the Consignee at the latter's expense until the Customer Broker's services provided to the Consignee hereunder are paid in full.

7. GENERAL PROVISIONS

7.1. Should the Terms and Conditions and/or Agreement text change, the Parties agree to apply the Terms as of the date of consent specified in Clause 2.2.

Return Policy

The aim of The Level S.r.l. (the "Seller") is to ensure your full satisfaction. If for some reason you are not satisfied with your order, you may exercise your right of withdrawal, without penalty, within 14 working days from the date on which you received the products purchased on palmangels.com.The 14-day period applies regardless of whether the products were full-price or on sale.

We attempt to show you the colours of the products as accurately as possible. However, different computer screens may show colours in different ways, and we cannot guarantee that your screen will show you every colour perfectly.

All products are certified as high quality and carefully checked when shipped. Should you receive a product that is not in perfect condition, please contact us immediately. Please send us all products for return in the same shipment to ensure that your return is processed as soon as possible.

The products must be returned in their original packaging so that they are adequately protected during transit.

If you are placing the order from Italy, where the Consumer Code (legislative decree no. 206/2005) is in force, or from another European Union country (where legislation substantially equivalent to the Consumer Code is in force due to harmonised European Union rules), you have the right to cancel your order using our return service. Please note that the shipping costs for the return will be charged to you and will be deducted from the amount spent, as detailed below.

Upon receipt of your cancellation notice, the Customer Service department will send you an email with the Return Authorisation Number (RAN). Please enter this number in the Proforma Return Invoice that you will receive with your order and fill it in with the details required. Send us the Proforma Return Invoice with your return so we can process it immediately. If you lose your Proforma Return Invoice, you will need to download it from the link in the return authorisation email received from our Customer Service department, or you can download it HERE. We recommend that you insure the shipment for return as you are responsible for any damage to it until it reaches our warehouse. We also recommend that you use secure means to send the return to us and that said means allow you track your shipment, which may be required in the event of a dispute. Please note that you will have to cover the shipping costs for the return, as detailed below.

1. Terms and Conditions of Return

The right to return products shall be deemed correctly exercised once the following conditions have been fully met:

A. The request for return authorisation must be filled out correctly and sent to the Seller within 14 working days from the delivery date. The request can also be sent, within the same time limit, by recorded delivery to the Seller's address (The Level srl) Piazza Arcole 4, 20143, Milan;

B. The products must not have been used, worn, washed or damaged;

C. Tags must still be attached to the products with the disposable seal; please try the product without removing the tag and relevant seal because products returned without these will not be accepted.

D. Products must be returned in their original packaging;

E. Returned products must be sent to the Seller in a single shipment. The Seller reserves the right not to accept items of the same order if returned and shipped at different times.

2. Ways to Return Products

The products can be returned by shipping the package through the courier indicated by the Seller (UPS), or through another carrier, only after filling in the Return Authorisation request, the number for which (Return Authorisation Number) can be found online in the Customer Service area. It is not possible to exchange the chosen item for another one.

Returns can be sent via the UPS courier indicated by the Seller, using the pre-printed label you will find inside your parcel. This method will allow the Seller to pay for the shipment on your behalf and to verify at any time where your package is located. Contact UPS to arrange the pick-up. If you decide to use a different shipping agent to return the products, other than the one indicated by the Seller, you will have to pay the costs of the return yourself and you will be responsible in the event of loss or damage to the products during transport.

The products to be returned must be delivered to the courier within fourteen (14) working days from the date of their receipt.

Stick the pre-printed label (sent with your original order) on the outside of the package. If you cannot find the pre-printed label, you can ask the Courier to bring one when they come to collect the package. Fill it in with the following information: • The Level Srl • Palm Angels Online Store

You will be notified by email when your return is received and processed. If you want to track your return, all you have to do is LOG IN at any time, go to the Orders section in "My Account" and enter the aforementioned Return Authorisation Number.

If you are sending the package from a country outside of the European Union, please complete 5 copies of the Returns Proforma Invoice. These documents are necessary for customs clearance and must be given to the courier. You will find the Proforma Return Invoice inside the package that was sent; you can also download a copy from HERE.

If you are sending the package from Russia or the USA, please complete 5 copies of the Returns Proforma Invoice with the relevant descriptions and value of each item. These documents are necessary for customs clearance and must be given to the courier.

If you have complied with all required conditions, the Seller will refund the price of the purchased products, and you will be responsible only for the return costs, i.e. those incurred when returning the purchased products to the Seller. If you decide to use the UPS courier, however, you will not have to pay the return costs yourself, as the Seller will pay the UPS courier on your behalf, withholding from the refund an amount equal to the cost previously incurred for the delivery of the purchased products to your home address. If, however, you decide to use a different carrier, you will have to pay the return costs yourself. You will be contacted if your return cannot be accepted because it does not comply with the above conditions. In this case, you can opt to have the purchased products returned to you at your own expense. If you refuse this delivery, the Seller reserves the right to keep the products and the corresponding purchase amount of said products.

3. Refund times and means

After the Seller has received your returned items and checked that all requirements have been met, you will receive an email confirming acceptance of the returned items. Whatever payment method you use (credit/debit card or cash payment on delivery), the refund is activated by the Seller as soon as possible and, in any case, within fourteen (14) days from the date on which they became aware of the exercise of your right of withdrawal, once it has been verified that the cancellation has taken place in accordance with the above conditions.

If your order was sent to a destination within the European Union, all taxes (VAT) will be refunded. Outside of the European Union, customs duties and taxes cannot be refunded. In any case, you can recover these costs by contacting your local customs office directly. As this may not be available in all countries, we recommend using a customs broker if you want to get a refund on the custom duties for the returned goods. The actual time period for crediting or refunding the amount you paid for purchasing the products depends on the method of payment used:

A. purchase by credit/debit card: the refund processing time depends on the credit/debit card company, but usually takes place no longer than the time taken to issue two bank statements. Please note that the value date of the refund will in any case be the same as the debit date, so you will not suffer any loss in terms of bank interest; B. cash payment on delivery: the refund is made to the account you indicated, so the refund time depends on the correctness of the data entered; normally the refund takes up to fourteen (14) days to be credited.
